"Business Entry" Working Group held a meeting

On July 31, 2025 a meeting of the "Business Entry" Working Group of the Commission on Business Environment and International Rankings, led by the State Tax Service (STS) under the Ministry of Economy, was held. The event was attended by members of the working group and officials directly involved in its activities, as well as representatives of legal and consulting companies.

Samira Musayeva, Head of the Working Group and Deputy Head of the State Tax Service under the Ministry of Economy, welcomed the meeting participants and conveyed to their attention the issues on the agenda.

Vusal Shikhaliyev, Head of the Secretariat of the Commission for Business Environment and International Rankings, Head of the Monitoring, Coordination and Evaluation Sector of Economic Reforms of the Department of Economic Policy and Industrial Affairs of the Administration of the President of the Republic of Azerbaijan, stated that the World Bank Group was conducting assessments on Azerbaijan, when our country would be included in the report to be published the current year.

Then, Deputy Head of the State Tax Service Samira Musayeva reported on the activities implemented within the framework of the Roadmap. It was noted that, in order to ensure the electronicization and simplification of the processes of registering each change made to the constituent documents of legal entities, as well as each subsequent change of the registered facts, and the proactivity of the register, draft laws “On State Registration and State Register of Legal Entities” and “On Notary” have been prepared. The draft law takes into account the proactive receipt of contracts related to the alienation of the constituent share (purchase and sale agreements, donation agreements, etc.) and encumbrance by the registration authority from the notary authority and the registration of the relevant changes in the register. Currently, the aforementioned documents are at the stage of agreement.

Moreover, activites are currently underway to create a technical facility that ensures electronic exchange between the STS database and the Central Bank and SMBDA databases in order to submit documents issued by other state bodies to the registration authority electronically regarding the registration of legal entities which activities are regulated by special legislative acts.

Members of the working group, Deputy Head of the Notary, Registration and Registry Department of the Ministry of Justice Seymur Ismayilov, and Acting Head of the Department of Digitalization and Innovations in the Field of Justice, Gismat Gurbanov, provided information on the work implemented within creating a technical opportunity to verify the foreign origin documents of the founder - foreign legal entity, which have been issued an electronic apostille during the electronic state registration of limited liability companies with foreign investment, through the Electronic Apostille Program promoted by the Hague Conference on Private International Law, and to have their translation officially certified by a notary via the information system and submitted to the registration authority within the framework of integration.

Member of the working group, Head of the Consular Affairs Department of the Citizenship Affairs Division of the Ministry of Foreign Affairs, Ruhlan Nabiyev provided information on activities implemented by the Ministry of Foreign Affairs towards establishment of the “Consular Legalization” information system by the Ministry of Foreign Affairs of the Republic of Azerbaijan, following the amendments made to the Law “On State Registration and State Register of Legal Entities” and the finalization of all necessary work carried out until the documents submitted through that system to the registration authority.

The meeting covered discussions on the upcoming tasks related to the relevant roadmap for 2025, and exchanged views on further improving the business establishment processes. The amendments made to the Law "On State Registration and State Register of Legal Entities" regarding information on the beneficial owner were discussed, and views were exchanged on the additional issues arising for taxpayers.
